About Wyndham Destinations, Inc.

Wyndham Destinations (formerly Wyndham Worldwide) is one of the world's largest timeshare vacation companies. Its portfolio includes approximately 230 vacation ownership resorts offered under the Club Wyndham, WorldMark by Wyndham, Margaritaville Vacation Club by Wyndham, Presidential Reserve by Wyndham and Shell Vacations Club brands. The company also manages over 4,200 affiliated vacation exchange and rental properties through Resort Condominiums International (RCI). All told, Wyndham Destinations is present in approximately 110 countries, but gets more than 85% of revenue from US.

Operations

Wyndham Destinations is organized in two operating segments: Vacation Ownership, which accounts for about 80% of revenues, and Exchange & Rentals, which accounts for the remaining around 20%.

Through its Vacation Ownership segment, the company develops and markets Vacation Ownership Interests (VOIs) to individual consumers. It also provides consumer financing in connection with the sale of VOIs, and provides property management services at resorts. The majority of Vacation Ownership revenues come from timeshare sales; additional revenues come from consumer financing and property management.

Under Exchange & Rentals, the company maintains business relationships with over 4,200 vacation ownership resorts located in approximately 110 countries and territories. The unit includes vacation exchange network Resort Condominiums International (RCI). Its vacation exchange business derives the majority of revenues from annual membership dues and fees for facilitating vacation exchanges.

By products and services, vacation ownership interest accounts for around 45% of sales, while service and membership fees for approximately 40%. Consumer financing accounts for about 15%.

Geographic Reach

Wyndham Destinations is headquartered in Orlando, Florida. Its vacation ownership business leases approximately 155 marketing and sales offices. Of these offices, about 125 are located throughout the US and the remaining offices are in the Australia, Caribbean, Mexico, Thailand, Fiji, New Zealand, Indonesia, and the Philippines.

The company's exchange and rentals business leased more than 30 properties, most of which four are located in North America, more than 10 in Latin America, four in Asia Pacific, and two in Africa. It has about 110 leased offices throughout the globe.

Collectively, the company generates more than 85% of revenues in the US and about 15% outside the US.

Sales and Marketing

Wyndham Destinations uses a variety of marketing programs to attract prospective owners, including sponsored contests that offer vacation packages or gifts, targeted mailings, and outbound and inbound telemarketing efforts. Its marketing and sales activities are often facilitated through alliances with other travel, hospitality, entertainment, gaming, and retail companies.

The company also partners with Wyndham Hotel Group, a separate publicly traded company, by sharing the Wyndham Rewards loyalty program -- a key area of focus for Wyndham Destinations. The two companies have license agreements to jointly run their loyalty programs, Wyndham Rewards, and cross-sell each other's properties, whether they be vacation rental, timeshare, or hotel stays.

Advertising costs were $37 million, $27 million, and $25 million in 2019, 2018, and 2017, respectively.

Financial Performance

Wyndham Destinations' revenue steadily increased over the past five years. Overall, revenue grew 10% from 2015 to 2019. Revenue from continuing operations grew 3.4% in 2019 versus the prior year to reach $4.0 billion.

Wyndham reported higher revenues from its vacation ownership business, primarily due to an increase in net Vacation Ownership Interest (VOI) sales, consumer financing, and property management revenues.

In 2019, net income dropped to $507 million, down from $672 million in 2018. The decrease was due to higher income before income taxes. Gain on sales of business was $68 million during 2019 due to sales of the North American vacation rental business.

Cash at the end of 2019 was $355 million. Operating activities (from continuing operations) provided $453 million in cash, compared to $292 million in the prior year. Cash used in investing activities (continuing operations) was $44 million. Financing activities (continuing operations) used $289 million.

Strategy

The Wyndham Destinations strategic pillars serve to clarify the company's top priorities in order to enhance shareholder value and return capital to the stakeholders through share repurchases and dividends. The four Strategic Pillars affirm the company's mindset that customers must dominate the focus, while also reflecting relentless drive for superior sales and marketing, exceptional brands and products, as well as the company's commitment to operate all areas of the business with excellence.

The Customer Obsession strategy is the company's global credo that the Wyndham Destinations team puts affiliates, owners, members, and guests first in all areas of the business. Three straightforward guidelines support this focus and underscore our commitment to excellence in customer service: Make It Easy, Know Our Customers, and Customer, Customer, Customer.

The Best-in-Class Sales and Marketing focuses on fueling the continued growth of Wyndham Destinations. We will remain globally relevant to travelers by staying committed to innovation and continuing to build and strengthen relationships with our customers. Four core elements define our goals and align with our pledge to treat all customers with respect and integrity: Blue Thread, Partnership Pipeline, Digital & Customer Relationship Marketing, and Sales Experience.

The Leading Brands and Offerings strategy is about creating a simple yet powerful narrative of who we are and what we sell. This effort began with the launch of Wyndham Destinations and continues with the refreshed branding of Club Wyndham and WorldMark by Wyndham. Three core elements define this strategy: Brand Transformation, Network Expansion, and RCI Re-Ignition.

The Operating Excellence Strategy is the business engine that enables its delivery of great vacations and optimal performance through aligned operations. Two core elements drive this strategy: Resort Operating Excellence, and Prioritization.

Mergers and Acquisitions

In 2019, RCI, the world's largest vacation exchange network as part of Wyndham Destinations, acquired travel technology platform Florida-based Alliance Reservations Network (Alliance) for $92 million. This strategic acquisition will accelerate growth at RCI through an enhanced B2B experience for members and affiliates, as well as bring new benefits for individual and group travel, events, and the corporate meetings market.

Company Background

The company's history can be traced back to the formation of Hospitality Franchise Systems (HFS) in 1990. HFS initially began as a hotel franchisor that later expanded to include the addition of the vacation exchange business. In 1997, HFS merged with CUC International to form Cendant Corporation, which later expanded through the addition of vacation rentals and vacation ownership businesses. In 2006, Cendant distributed all the shares of its subsidiary, Wyndham Worldwide, to the holders of Cendant common stock. Later that year it began trading on the New York Stock Exchange under the symbol WYN.

Vacation exchange business RCI was established in 1974. Vacation ownership brands began operations in 1978 with Shell Vacations Club, followed by Wyndham Vacation Resorts (formerly known as Fairfield Resorts) in 1980, and WorldMark by Wyndham (formerly known as Trendwest Resorts) in 1989.

On May 31, 2018, Wyndam Worldwide completed the spin-off of its hotel business into a separate publicly traded company, Wyndham Hotels & Resorts. It then changed its name to Wyndam Destinations.
