Recent highlights include:

  • The firm advised Albertsons LLC, Cerberus Capital Management LP and the investor group — which included Kimco Realty Corporation, Klaff Realty LP, Lubert-Adler Partners LP, and Schottenstein Stores Corporation — in the $9.2-billion acquisition of Safeway Inc. The deal was named ACG New York Champion's Awards' "Deal of the Year – Retail" and was also the "Top 10 Deal" in The Deal Pipeline's Corporate Control Alert. Schulte also advised Cerberus when SUPERVALU INC. unveiled a $3.3-billion deal to sign over its five biggest store chains and a stake in its remaining business to a group of investors led by Cerberus.
  • Among numerous campaigns in the past year, Schulte recently successfully represented Trian Fund Management in its proxy contest securing the appointment of its CEO and founding partner Nelson Peltz to The Procter & Gamble Company’s Board of Directors. Procter & Gamble, a $228 billion market cap multinational manufacturer, is the largest company ever to be the subject of a proxy contest. The firm also advised on Trian's successful shareholder activist campaign at Sysco Corporation.
  • The firm represents the joint venture, The Related Companies and Oxford Properties Group, in developing Hudson Yards, a $15-billion project, in closing nearly $1.4 billion in equity investments and debt financing for the center's first tower on New York City's West Side. Schulte also advised Oxford Properties Group in the closing of over $5 billion in financing for the flagship office tower 30 Hudson Yards, as well as the 650,000 square foot "Shops and Restaurants at Hudson Yards."
  • Schulte advised Greenlight Capital Inc. in its proxy campaign at General Motors Co., JANA Partners LLC in connection with Whole Foods Market Inc. and Elliott Management in connection with Marathon Petroleum.
  • Schulte represented Keane Group Inc. in connection with its IPO of 26.7 million shares of its common stock and its listing on the New York Stock Exchange.
  • Schulte achieved a series of unprecedented securities litigation victories on behalf of venBio Select Advisor LLC in its proxy contest at Immunomedics Inc., a clinical-stage biopharmaceutical company. Schulte's litigators succeeded in assisting venBio in seating four directors for a majority of Immunomedics' board. Additional victories included preventing Immunomedics from moving its record and annual meeting dates, and successfully obtaining a temporary restraining order enjoining the Seattle Genetics transaction from closing. Soon thereafter, Seattle Genetics agreed to terminate the transaction and the stock jumped more than 30 percent. 
  • Schulte represented Marlin Equity Partners in its acquisition of one of the leading telecom expense management companies, Tangoe Inc. Marlin combined Tangoe with its existing portfolio company that provides TEM software and services, Asentinel, to create a market leader managing more than $38 billion of IT and telecom spend on behalf of more than 1,300 worldwide customers
  • The firm advised YP Holdings, a leading marketing solutions and search platform provider and publisher of the Real Yellow Pages and YP.com, in its acquisition by Dex Media, Inc.
  • Schulte represented Cerberus Capital Management in raising $4 billion for the private investment firm’s sixth flagship multi-strategy fund, Cerberus Institutional Partners VI LP, which received commitments from more than 150 investors.
  • Schulte represented Altimeter Capital Management LP in connection with a successful activist campaign at United Continental Holdings Inc., the parent company to United Airlines.
  • Schulte represented SRS Investment Management in obtaining board representation at Avis Budget Group Inc., a leading global provider of vehicle rental services.
  • The firm represented Marlin Equity Partners in its $891-million all-cash acquisition of Tellabs Inc. The deal was named Global M&A Network's "North America Private Equity Deal of the Year (Large)" as well as the M&A Advisor's "M&A Deal of the Year (over $500 million to $1 billion)." Schulte also represented Marlin Equity Partners in its acquisition of Nokia Siemens Networks' optical networks business to form Coriant.
  • The firm advised on Caxton Associates' sale of a minority 9.99-percent interest to the Petershill II Fund, affiliated with the Goldman Sachs Group Inc.
  • The firm secured dismissals on behalf of Tullett Prebon plc in a series of lawsuits and data cases brought by affiliates of rival inter-dealer broker BGC Partners Inc. that recouped more than $130 million in damages following a competitor's raid of 80 Tullett Prebon brokers.
  • Schulte is representing former senior aide and campaign manager to Gov. Andrew M. Cuomo, Joseph Percoco, in one of the highest profile “political corruption” cases in the United States. The case is being closely followed by national media, including regular coverage in The New York Times and The Wall Street Journal.
  • The firm advised a former executive of SunTrust Mortgage indicted for wire fraud and conspiracy to commit wire fraud in the Eastern District of Virginia. The high-profile trial concluded and post-trial motions are pending.
  • In another high profile matter covered by The New York Times, Schulte is advising on the Lazare Kaplan v. KBC Bank case. The firm is representing Lazare Kaplan, the largest U.S. public diamond manufacturing and distribution company, in a lawsuit against Belgian bank KBC for violations of civil RICO, money laundering and fraud. Damages sought are in excess of $500 million trebled.
  • Greenberg Traurig LLP and Schulte represented a joint venture of Invesco Real Estate and Monday Properties Investments LLC in the $1.2-billion sale of 230 Park Avenue to RXR Realty LLC. The sale of the 34-story, 1.4-million-square-foot iconic property, long known as the Helmsley Building, was among one of the largest office building sale transactions of 2015 for New York City. The deal won Real Estate Forum's "Dealmakers of the Year Award."
  • The firm represented activist hedge fund JANA Partners LLC in a successful campaign that resulted in PetSmart Inc.'s sale to a private equity buyer for $8.7 billion.
  • The firm represented The Energy & Minerals Group in connection with fundraising and structuring to establish the $4 billion EMG Fund III, the private investment firm's third energy and minerals fund.
  • The firm represented Monster Beverage Corp. in its sale of a 16.7-percent stake in the company to Coca-Cola Corp.
    • The firm represents the Museum of Modern Art ("MoMA") in New York City in connection with the expansion of the existing museum facility and the sale of air rights to an affiliate of Hines Interests Limited Partnership.
    • Schulte advised the former CEO of Hanger Inc. in securing the dismissal of a securities fraud class action in which he was named as a defendant.
    • The firm represented Wilmington Trust Company in a series of significant victories over the FDIC to secure ownership of a tax refund in excess of $400 million for the Downey Financial Corp. bankruptcy estate, in which Wilmington Trust is a substantial creditor as indenture trustee for hundreds of millions of dollars of Downey Financial notes.
