OUR CLIENTS - Morrison & Foerster LLP

We represented Hitachi in the $4.3 billion sale of its hard disk drive and data storage business, Hitachi Global Storage Technologies, to Western Digital. This was one of the biggest tech deals announced in 2011.

We represented Intel in its $7.7 billion acquisition of McAfee, Inc., the world's largest dedicated security technology company, enabling a combination of security software and hardware to better protect consumers, corporations, and governments as billions of devices — and the server and cloud networks that manage them — go online. The McAfee acquisition is the largest M&A deal in Intel's history.

We represented Dimension Data plc, an ICT services and solutions provider and subsidiary of NTT Communications, in its acquisition of OpSource, Inc., an enterprise cloud company, in a transaction that will enable Dimension Data to accelerate its cloud computing services offerings.

We represented Novellus systems, Inc. in its $3.3 billion merger with Lam Research Corp. The two California-based semiconductor manufacturers play a pivotal role in developing next-generation devices. This transaction is among the largest in the semi-equipment space and the largest announced stock-for-stock transaction in the technology sector in 2011.

We represented Visa Inc. in its acquisition of South Africa-based Fundamo (Proprietary) Limited, a lending platform provider of mobile financial services for mobile network operators and financial institutions in developing economies.

We obtained a unanimous jury verdict on behalf of Ernst & Young LLP in an accounting malpractice case. The plaintiff, a hedge fund, had sought $48 million in damages. This came hot on the heels of another defense verdict for Ernst & Young in the Southern District of New York, where plaintiffs sought damages in excess of $200 million.

We defended Nikon Corporation against patent infringement litigation brought by plaintiff Anvik Corporation involving laser technology and microlithography machines used in the fabrication of flat-panel LCD displays. We won summary judgment of invalidity on the patents, resolving the case in favor of our client before a trial.

We represented McKesson Corporation in a series of antitrust and RICO class action lawsuits brought by third-party payors of prescription drug benefits and governmental agencies nationwide that paid for brand-name prescription drugs based on a benchmark called average wholesale price ("AWP"), which the plaintiffs alleged McKesson conspired to inflate. We obtained dismissal or classwide settlement of these claims against McKesson.

We represented JPMorgan Chase Bank, N.A., as administrative agent for a syndicate of lenders that provided approximately $585 million in secured financing for a multibillion-dollar real estate project in Las Vegas. MoFo filed and successfully defended the involuntary Chapter 11 bankruptcy petition against the developer, South Edge, LLC, and then negotiated and implemented a reorganization plan, together with a majority of the homebuilder equityholders, which provided a par-plus recover of $335 million.

We defended Target Corporation in a consumer class action that alleged the company falsely advertised items as "Made in USA" on its Target.com website. We obtained a denial of class certification from the trial judge, and the California Court of Appeal for the Fourth District affirmed the decision.
