Corporate Finance

Cahill has worked on the financing of many of the most significant merger and other corporate transactions for nearly a century. Cahill advised the debt financing banks in 8 of the 10 biggest buyouts in U.S. history, represented the underwriters in the biggest private equity backed IPO to date and the dealer managers in the historic $38 billion debt exchange offer by GMAC, completed in the wake of the 2008 global financial crisis. Cahill lawyers are consistently involved in headline-making deals.

That is one reason why Cahill works closely with leading banks like BofA Merrill Lynch, Barclays, Citigroup, Credit Suisse, Deutsche Bank, JPMorgan, Morgan Stanley, UBS and Wells Fargo.

Cahill’s broad corporate practice includes securities, lending, mergers and acquisitions, restructuring and bankruptcy, and insurance and reinsurance transactions. Cahill is consistently the top legal advisor to U.S. and European high yield bond underwriters, ranking #1 by Bloomberg for representing investment banks in the over $250 billion (2011) US corporate high yield debt markets and #1 by Thomson Reuters for representing lenders and arrangers in the over $400 billion (2011) US corporate leveraged (i.e. non-investment grade) syndicated loan markets. 

LitigationCorporate Governance & Investigations

Cahill’s litigation practice has its roots in high stakes securities, commercial, insurance, First Amendment, antitrust, and intellectual property litigation, as well as white collar investigations. Chambers USA recently described our practice as: “An `excellent litigation practice,’... made up of `tough lawyers who are really litigators’ litigators’ ...”  Cahill’s team includes lawyers who joined following distinguished careers at the US Attorneys Offices, Securities and Exchange Commission,  Department of Justice and Department of the Treasury.

Throughout the firm’s history, Cahill lawyers have appeared before the U.S. Supreme Court in landmark cases, including: NBC v. United States, which helped to establish the authority of the Federal Communications Commission; Times-Picayune v. United States, which is among the Court’s seminal antitrust tying rulings; and United States v. Grinnell Corp., which addressed monopolization. Cahill partner Floyd Abrams represented The New York Times in New York Times Co. v. United States (the “Pentagon Papers” case), and appeared before the Court in Citizens United v. Federal Election Commission on behalf of Senator Mitch McConnell.

Cahill is representing The McGraw-Hill Companies and its Standard & Poor’s subsidiary in numerous cases arising from its rating of securities backed by subprime mortgages. Cahill also represents Time Warner Cable (“TWC”) in a nationwide class action and a contract dispute with major programmers.  Cahill recently represented TWC in a challenge to its rights to enable subscribers to view the cable service on iPads.  The firm is counsel to Deutsche Bank, HSBC and Pfizer in a number of purported securities class actions, as well as in commercial litigation.

On the white collar and corporate governance side, Cahill is advising numerous companies, boards and committees in corporate investigations.
