Job Responsibilities
50% - Corporate minutes book maintenance for 11 domestic
subsidiaries and 5 international subsidiaries. Preparation of
board agendas, minutes, resolutions and UWCs.
30% - Preparing and filings of Section 16 & SEC filings: Form 3,
4, and 5, Form 10-K, Form 10-Q and Form 8-Ks
10% - Company Stock Plan Administration. Process employees'
stock option grants including exercises and cancellations. Act
as a liason between the company and its outside vendor to ensure
accuracy of data.
10% - Special projects as assgiend: Due diligence review, prepare
closing binders, obtaining necessary closing documents for
various transactions.

I work from 9-6, hardly do overtime (which is best part working as a in-house
paralegal). Travel is not needed, business casual at work. Company offers
employee discount for its and its partners' products. Company will also pay for
travel and tuition for continuing education.

Compensation
60K + 20% bonus + Stock Options. Company benefits is pretty
good, employer contributes majority of medical/dental/vision
insurance. Employee pays $40 a month for medical ppo,dental ppo,
and vision vsp. 15 days of vacation (including floats), 6 sick
days and paid holidays. Flexible work schedule.

Advice to Jobseekers
For anyone who is interested in becoming a paralegal, I highly
recommend that while you attend school (either getting ur
bachelors or paralegal certificate) to start working in the legal
field. It is very hard to find a job as a Paralegal if you do
not have experience, even with a bachelors and a paralegal
certificate. Best scenario would be to work as an office
assistant or a clerk in the legal field and start building
experience from there. Companies look for ppl with experience
working in the legal field and use your most recent position as a
guide for salary purposes. I started as an assistant to the
secretary at my company 5 years ago, and slowly climb my way up.
I was hired at $32K a year, now I am making $60K + bous!!!! And I
LOVE what i am doing!
