The best book in the biz is "Structuring Venture Capital, Private Equity, and Entrepreneurial Transaction" by Jack Levin. Be prepared to shell out some serious dough. (It's worth it. Buy it.) In one month, you'll know more about creating a term sheet than your corporate masters.
