It appears that in early 2005 after BE axed Rand, Mr. Black assumed he would be terminated and received (or took?) a $2.54M bonus. Why? How? Who knows. Rod probably signed the check. But according to the filing BE has been contesting this for a while. The very public termination notice (violating the code of conduct) appears to indicate that BE does not think they will get the $ back so as a "I'll have the last laugh" meaure they have fired him for cause to poison his future job prospects. |

Mr. Black left his wife two months before she gave birth to their first child. Mr. Black left her for his secretary. Allegedly Rand thought this type of behavior was reprehensible for a senior exec. So Rand was going to terminate Mr. Black on a violation of his morals and ethics clause. Then someone pulled Rand aside and reminded him of what he had done just a few years earlier. Rand turned red and Black backed the truck up to the front door of BE and loaded it up with cash.
