New York office of "A-list" law firm seeks comparable 5th-6th year (class of 2003-2002) associate with "AmLaw 100" tax transactional experience.
Ideal candidate should be able to: analyze and evaluate tax consequences of sophisticated cross-border corporate transactions for multinational clients; advise clients regarding structuring of securitization vehicles and implementation of advanced securitization techniques, including. cash and synthetic CDO and CLO transactions and offerings of derivatives-based structured finance products; draft tax disclosures and negotiate investment guidelines for CDO and CLO securitizations; advise clients re tax implications & tax structuring of international mergers and acquisitions, spin-offs, and other corporate reorganizations, investment funds, debt and equity financings, corporate restructurings, partnerships, joint ventures, and complex financial products; utilize knowledge of international tax treaties to advise domestic and multinational companies on international tax law planning under U.S. , U.K. , and European tax codes and treaties; draft tax opinions for securitizations and structured finance products and other corporate deals; and perform securitization and financial product development legal work. Ideal candidate should have an LL.M in taxation and must be admitted to NY State Bar. Further, candidates should have experience that includes CDO and CLO securitizations and complex financial product development legal work.
