About Diebold Nixdorf, Incorporated

Cash never gets old at Diebold Nixdorf, the leading global producer of automated teller machines (ATMs) with about a million in operation around the world. In addition, it offers remote teller systems, cash dispensers, and check cashing machines. The company offers an array of services and software for mobile banking and managing payment systems and customer loyalty programs at retailers and banks. The company's related services range from traditional maintenance to remote monitoring, transaction processing, and currency management. Diebold Nixdorf gets about three-quarters of its sales outside the US. The company became Diebold Nixdorf when Diebold bought Wincor Nixdorf in 2016.

Operations

Diebold Nixdorf's largest segment, accounting for more than half of revenue, is Services. These services make sure its machines - ATMs, point-of-sale, and others - maintain working order. Diebold Nixdorf services machines remotely or by sending technicians to the field. The company also offers managed services and outsourcing for managing the end-to-end business processes, technology integration, and day-to-day operation of self-service channels and bank branch and retail store networks.

The company's systems segment, nearly 40% of sales, consists of it hardware that customers interact with, the ATMs, point-of-sales machines, and ordering kiosks. Systems include the Extreme ATM, which is less than 10-inches wide and conducts transactions via mobile phones. Also through the systems segment, the sells peripherals such as printers, scales, and mobile scanners, as well as banknote and coin processing systems.

In its software segment, 10% of revenue, Diebold Nixdorf provides applications that keep its equipment and those of other manufacturer running. The segment includes the company Vynamic platform that allows for connections between financial institutions, retailers and payment providers, offering omnichannel delivery.

Geographic Reach

Diebold Nixdorf isn't overly dependent on any one market. The US is the company's single biggest market, supplying almost a quarter of revenue. The addition of the German-based Wincor Nixdorf operations made Germany the second biggest market with about an eighth of sales. Other single markets broken by the company are Brazil, 5%, and China, 2%. Other geographic markets, covering Europe, Asia, South America, provide nearly 60% of revenue.

The company has corporate offices in North Canton, Ohio, and Paderborn, Germany. Manufacturing operations are the US, Brazil, China, India, and Germany. The company conducts software development in Canada.

Financial Performance

A full year of sales from the Nixdorf side of the company boosted Diebold Nixdorf's revenue 40% to $4.6 billion in 2017 from 2016. Revenue might have been higher, but sales declines in the services and systems segments reduced the Nixdorf contribution by some $220 million. Decreased sales were blamed on the winding down of multi-vendor service contracts in the Americas and fewer sales of big systems.

Diebold Nixdorf company posted a net loss of $233 million in 2017, compared to a $33 million loss in 2016. The company had higher expenses in 2017 including those associated with integrating Diebold and Nixdorf.

Diebold's cash on hand fell to $535 million in 2017 from $652 million in 2016 as the company used cash for integration initiatives, restructuring programs, interest on debt, and income taxes.

Strategy

Diebold bought Wincor Nixdorf to develop size, scale, and depth of product as well as worldwide geographic reach. Diebold positioned the merger as a match between companies with strong services and software components, areas that Diebold emphasizes as it changes its business model from a hardware orientation to a software focus.

With the deal done and integration, the company aims to make transactions friction free to buyer, seller, and middleman through integration of hardware, software, and services. While the company seeks to operate through technology, it's 15,000-member service force (65% of the company's headcount) is a key part of its strategy. The service personnel are to quickly fix machines in hands-on visits or through remote access.

With Nixdorf, the company expanded in Europe in a big way. Diebold Nixdorf is the top provider of point-of-sale systems on the continent and it sees retail as a growing business. Retail accounts for more than 10% of the company's revenue, all of it coming with Nixdorf. The company also seeks to develop customers for mobile banking applications in Europe, where mobile banking has proved popular with consumers.

The company continues to work on integration and finding areas to save money as part of the acquisition process. It plans about $240 million in savings through consolidation and increasing efficiency by 2020. In 2016, the company sold its electronic security business in the US and Canada to Securitas for about $350 million.

Diebold Nixdorf has about $2.6 billion in debt, some of it from the Wincor Nixdorf transaction. Maintaining payments on the debt could prevent the company from making investments in the company and limit its flexibility to respond to opportunities and threats.

Mergers and Acquisitions

In 2015 Diebold acquired Phoenix Interactive Design, a software developer for ATMs and other financial self-service applications. The purchase was made to accelerate Diebold's growth in managed services and branch automation.
