About Northrop Grumman Innovation Systems, Inc.

Through several operating segments, Orbital ATK is a leading manufacturer of mission-critical products, including launch vehicles and related propulsion systems; satellites and associated components and services; composite aerospace structures; tactical missiles, subsystems and defense electronics; and precision weapons, armament systems and ammunition. Its operations are divided across the three segments of Flight Systems, Defense Systems, and Space Systems. In late 2017, Orbital ATK agreed to be bought by Northrop Grumman for about $7.8 billion in cash.

Change in Company Type

In late 2017, Northrop Grumman, a leading defense contractor in the US, agreed to buy Orbital ATK for about $7.8 billion and assumption of about $1.4 billion in debt. The deal, the biggest in the defense sector in several years, would extend Northrop Grumman's capabilities into launchers, satellites, and other aerospace areas. Orbital, in particular, fills a gap in Northrop Grumman's offerings in satellites and space systems. For Orbital, it gets access to the technical and financial resources of the larger company. Northrop Grumman plans to make Orbital ATK its fourth business segment when the acquisition is concluded, which is expected in the first half of 2018.

Operations

Orbital ATK is organized into three groups: Flight Systems (more than 30% of net sales), Defense Systems (40%), and Space Systems (around 25%). The Flight Systems Group provides small and medium-class space launch vehicles, solid rocket propulsion systems, interceptor boosters and target vehicles, and composite structures for commercial and military aircraft.

The Defense Systems Group offers propulsion and controls for tactical missiles and missile defense interceptors, advanced defense electronics, and ammunition (small-, medium-, and large-caliber). Lastly, the Space Systems Group supplies commercial satellites, spacecraft for research and security missions, and spacecraft components and subsystems.

Geographic Reach

Orbital ATK is stationed in Arlington, Virginia, and has locations in some 20 states and other countries.

Sales and Marketing

NASA is its largest customer, generating around 25% of its sales. Other significant customers include the US Navy, US Army, and the US Air Force.

Strategy

Orbital ATK's growth strategy is centered around its pending acquisition by Northrop Grumman, a leading defense contractor in the US. Northrop Grumman is purchasing Orbital ATK for about $7.8 billion and assumption of about $1.4 billion in debt. The mega deal will enhance Northrop Grumman's capabilities into mid-range rockets, satellites, and other aerospace areas. For Orbital, the transaction will grant it access to the more substantial technical and financial resources of the larger company. Northrop Grumman will make Orbital ATK its fourth business segment when the acquisition is concluded, which is expected in the first half of 2018.

Company Background

Orbital ATK was created when Alliant Techsystems and Orbital Sciences merged their aerospace and defense operations in early 2015, in a $5 billion transaction that created. As part of the deal, Alliant spun off its sporting segment (Vista Outdoor), which focuses on commercial sporting equipment, to shareholders.
